TERMS OF SERVICE Effective Date: The date you first create an account or otherwise access or use the Services (the “Effective Date”). These Terms of Service (the “Agreement” or “Terms”) govern your access to and use of the ReadyUp mobile application and related services (the “Services”), operated by Salt and Light Strategies LLC, an LLC (“ReadyUp,” “we,” “us,” or “our”). BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICES IN ANY MANNER, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICES.
1. SERVICES DESCRIPTION
ReadyUp provides a platform designed to facilitate introductions and communication between users for dating, friendship, gaming team formation, and similar social purposes. ReadyUp does not verify, screen, or endorse any user, user-generated content, or user interaction. The Services merely provide a technological means for users to discover and message one another based on self-provided information. YOU UNDERSTAND AND AGREE THAT READYUP HAS NO CONTROL OVER THE CONDUCT OR IDENTITY OF USERS AND MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING USER BEHAVIOR OR SAFETY. YOU ASSUME SOLE RESPONSIBILITY AND ALL RISKS ARISING FROM YOUR USE OF THE SERVICES AND YOUR INTERACTIONS WITH OTHER USERS.
2. ELIGIBILITY
2.1 Age Requirements • Date Mode is strictly for users who are 18 years of age or older. • Game Mode may be available to users aged [18+] or older, subject to local law. By using the Services, you represent and warrant that you meet the applicable age requirements.
2.2 Legal Capacity You affirm that you have the legal capacity to enter into this Agreement and are not prohibited from using the Services under any applicable law.
3. USER RESPONSIBILITY
You agree that: • You are solely responsible for your decisions and interactions on the platform. • You will use sound judgment and exercise appropriate caution in all communications and meetings with other users. • You will not rely on ReadyUp for any verification or vetting of other users. • You understand that other users may provide false or misleading information, and you assume all risk in relying on such information. • ReadyUp is not responsible for, and expressly disclaims liability for, any harm or loss arising from your use of the Services or your interactions with others.
4. USER ACCOUNT
4.1 Registration You must register for an account by providing accurate, current, and complete information. You agree to maintain the accuracy of your account information. 4.2 Credentials You are responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities that occur under your account.
4.3 Unauthorized Use You agree to notify us immediately if you suspect any unauthorized use of your account. ReadyUp is not liable for any loss or damage arising from your failure to comply with this obligation.
5. USER CONTENT
5.1 Definition “User Content” includes any information, images, text, communications, or materials you submit, post, or transmit via the Services, including profile information and chat messages.
5.2 Responsibility You are entirely responsible for your User Content. You warrant that your User Content does not violate any applicable law or third-party rights.
5.3 License Grant By submitting User Content, you grant ReadyUp a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display such User Content for the purpose of providing, operating, and improving the Services.
5.4 Monitoring and Removal ReadyUp reserves the right, but is not obligated, to monitor, remove, or modify User Content at its sole discretion, at any time, for any reason, including for violations of these Terms or applicable law.
6. ACCEPTABLE USE
You agree not to: • Use the Services for unlawful or prohibited purposes. • Impersonate any person or entity. • Harass, threaten, stalk, defame, or otherwise harm others. • Transmit content that is obscene, pornographic, violent, hateful, or otherwise objectionable. • Violate any intellectual property or other proprietary rights. • Use automated systems or scraping tools to access the Services. • Collect or store personal data about other users without their explicit consent. • Circumvent or interfere with security features. Violation of this section may result in immediate termination of your account.
7. USER INTERACTIONS; ASSUMPTION OF RISK
7.1 User Responsibility YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ALL COMMUNICATIONS AND MEETINGS WITH OTHER USERS. READYUP DOES NOT SCREEN, VET, OR GUARANTEE ANY USER. YOU MUST EXERCISE YOUR OWN JUDGMENT AND DISCRETION AT ALL TIMES.
7.2 Assumption of Risk YOU EXPRESSLY UNDERSTAND AND AGREE THAT: • YOU USE THE SERVICES AT YOUR OWN RISK. • YOUR INTERACTIONS WITH OTHER USERS ARE ENTIRELY AT YOUR OWN DISCRETION AND RISK. • YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR OWN SAFETY, INCLUDING BUT NOT LIMITED TO CHOOSING MEETING LOCATIONS, SHARING PERSONAL INFORMATION, AND DECIDING WHETHER TO MEET IN PERSON. • READYUP DISCLAIMS ANY AND ALL LIABILITY RELATING TO YOUR INTERACTIONS WITH OTHER USERS.
8. SAFETY RECOMMENDATIONS ReadyUp strongly recommends: • Meeting new connections in public, well-lit places. • Informing a friend or family member about your plans. • Avoiding the sharing of sensitive personal or financial information. • Trusting your instincts and discontinuing any communication that feels unsafe or uncomfortable.
9. REPORTING AND BLOCKING ReadyUp provides functionality to report or block users who engage in inappropriate conduct or violate these Terms. We may review such reports but do not guarantee specific action. We reserve the right to suspend or terminate users at our discretion.
10. PRIVACY Your use of the Services is subject to our Privacy Policy, which explains our collection, use, and sharing of your information. By using the Services, you consent to our data practices as described in the Privacy Policy.
11. ACCOUNT TERMINATION
11.1 By User You may terminate your account at any time through the app or by contacting support.
11.2 By ReadyUp We may suspend or terminate your access to the Services at our sole discretion, with or without notice, for any reason, including but not limited to: • Violation of these Terms. • Fraudulent or abusive behavior. • Compliance with applicable law. 11.3 Effect of Termination Termination of your account will immediately revoke your right to access the Services. Certain provisions of these Terms will survive termination, including but not limited to Sections 3, 5, 7, 10, 12, 13, 14, and 15.
12. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. READYUP MAKES NO WARRANTY OR REPRESENTATION THAT: • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. • ANY USER OR USER CONTENT WILL BE RELIABLE, ACCURATE, OR SAFE. • INTERACTIONS BETWEEN USERS WILL BE SAFE OR SUCCESSFUL. YOU ACKNOWLEDGE AND AGREE THAT READYUP IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER OR FOR ANY CONTENT POSTED BY USERS.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, READYUP AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL READYUP’S TOTAL LIABILITY EXCEED THE GREATER OF: • ONE HUNDRED U.S. DOLLARS ($100); OR • THE AMOUNT YOU PAID TO READYUP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless ReadyUp, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: • Your access to or use of the Services. • Your User Content. • Your violation of these Terms. • Your interactions with other users.
15. DISPUTE RESOLUTION AND BINDING ADJUDICATION
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding adjudication administered by an adjudicator appointed solely by ReadyUp. You expressly agree and acknowledge that: • ReadyUp will have the exclusive right to select and appoint the adjudicator to resolve any dispute. • The adjudicator’s decision will be final and binding on both parties. • You waive any right to appeal or contest the adjudicator’s decision in any court of law, to the maximum extent permitted by applicable law. • You further waive any right to participate in any class action, class arbitration, or representative proceeding against ReadyUp. Nothing in this section shall preclude ReadyUp from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. MODIFICATIONS
We reserve the right to modify these Terms at any time. We will notify you of material changes via the Services or by other means. Your continued use of the Services after changes become effective constitutes your acceptance of the new Terms.
17. SEVERABILITY If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
18. WAIVER Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
19. ENTIRE AGREEMENT These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReadyUp regarding the Services and supersede any prior agreements or understandings.

USER ACKNOWLEDGMENT BY CREATING AN ACCOUNT OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. YOU AGREE THAT YOU ALONE ARE RESPONSIBLE FOR YOUR SAFETY, INTERACTIONS, AND DECISIONS ON THE PLATFORM.
